These terms and conditions apply to these ICAEW vacancy/recruitment sites

 

1.      GENERAL

1.1 These websites – ICAEW JobsICAEW Training VacanciesICAEW Volunteers and  ICAEW Recruiter services  are affiliates of ICAEW Vacancies (collectively known as  “the Website”) and are owned and operated by the Institute of Chartered Accountants in England and Wales (ICAEW). Its contact address is Chartered Accountants Hall, Moorgate Place, London EC2R 6EA.

The function of the Website is to provide information and services to aid jobseekers or roleseekers ("Candidates") in their search for new opportunities and provide potential employers, organisations and recruitment companies ("Recruiters") access to Candidates. Any Candidate or Recruiter or other person accessing the Websites may also be described as ‘you’ in these Terms.

Access to the Website is made available to you on these terms and conditions (the "Terms"). By accessing any part of the Website or its content, or utilising any services, you are deemed to have accepted these Terms. If you do not agree with any of these Terms, you should stop using the Website immediately.

The Website is part of the ICAEW, which acts to provide an extended service to its members, students and the wider chartered accountancy and financial community. 

  • Members of ICAEW will be encouraged to use the ICAEW Jobs service to seek roles only aimed at ACA-qualified chartered accountants; 
  • potential students of the ACA will be encouraged to use the ICAEW Training Vacancies website to find placement opportunities;
  • financial professionals seeking a voluntary role will be encouraged to use the ICAEW Volunteers website
  • Recruiters will use ICAEW Recruiter services to advertise on any one of the above three affiliates. 

1.2 The Website will not be providing any potential Recruiter with access to membership information or the ability to harness this information.

1.3 ICAEW reserves the right to modify or remove any part of these Terms, including the related Privacy Policy, at any time. Any changes will come into effect from the time of there being any new set of terms and conditions at the link to TERMS AND CONDITIONS on any of our websites mentioned above. If you are unwilling to accept the new or amended terms and conditions you must cease using the Website immediately: continued use of the Website thereafter is deemed acceptance of the new or amended terms and conditions.

1.4 If you would like these Terms in another format, please contact us.

1.5 You agree that you are solely responsible for all costs and expenses you may incur in relation to your use of the Website.

1.6 We make no promise that the Website is appropriate or available for use in locations outside of the UK. If you choose to access the Website from locations outside of the UK, you acknowledge that you do so at your own initiative and are responsible for compliance with local laws where they apply.

1.7 As a condition of your use of the Website you undertake:

  • not to: use or upload to the Website, or when accessing any service delivered via the Website, any software, device or routine (including but not limited to any files containing corrupt data, viruses or other ‘malware’); 
  • subject the Website to any denial-of-service attacks or penetration testing; or seek to damage, crash, delay, or otherwise interfere with the operation of the Website;
  • not to attempt to gain any unauthorised access to our Website, the server on which our Website is stored or any server, computer or database connected to our Website.
  • not to upload or use any false identity or details; and
  • only use the Website for honest purposes namely, as a Candidate, in looking for possible roles and, as a Recruiter, to promote existing vacancies.

We may prevent or suspend your access to our Website if you do not comply with these Terms or any applicable law.
 

2.     REGISTRATION AND PASSWORD SECURITY

2.1 Use of the Website may require registration, particularly in order to access restricted areas.

2.2 We are not obliged to permit anyone to register with the Website and we may refuse, terminate or suspend registration to anyone at any time.

2.3 You are responsible for making sure that your password and any other account details are kept secure and confidential.

2.4 If we have reason to believe that there is likely to be a breach of security or misuse of the Website through your account or the use of your password, we may notify you and require you to change you password, or we may suspend or terminate your account.

2.5 Any personal information you provide to us as part of the registration process will be processed in accordance with our Privacy Policy.
 

3. LICENCE / INTELLECTUAL PROPERTY

3.1 The copyright, database right and other intellectual property rights in all materials on the Website, including but not limited to its text and content (including these Terms), any listings (other than information uploaded by a Recruiter), formats or structures, photographs and graphical images or other multimedia content (Content), the Candidate database and any other database(s) (Databases), and the organisation and layout of the Website is owned by ICAEW. Use of the Website does not give you any rights in such materials.

3.2 Nothing in these Terms grants you any legal rights to the Website, Content or Databases other than as necessary for you to access it. 

3.2 You may use, print and download extracts from this Website or emails you have received from ICAEW for their intended purposes only and on the following basis:

3.2.1 use of all material/or the content of emails that you receive from the Website is for information purposes and non-commercial use only, except for applicant email content and attachments sent to Recruiters as part of the process of recruiting for role(s) advertised; any copies of pages saved may only be used or printed out subsequently for the same purposes;

3.2.2 no materials on the Website are modified or interfered with in any way;

3.2.3 graphics or photographs on the Website may not be copied, scanned, saved or downloaded separately from accompanying text;

3.2.4 any attached or embedded copyright or other ICAEW notices are not removed.

3.2.5 you will not use or make any use of any trademarks and trade names that may be used on the Websites or in the Content. Use by you of any trade marks on the Website or in the Content is strictly prohibited unless you have our prior written permission.

3.3 No part of the Website or any emails you receive may be reproduced, extracted from or stored in any other website, database or included in any public or private electronic retrieval system or service without ICAEW’s prior written permission.

3.4 Any rights not expressly granted in these Terms are reserved.
 

4. SERVICE ACCESS

4.1 Whilst ICAEW and its agents shall use its reasonable endeavours to ensure that the Website is available 24 hours a day, it will not be liable if for any reason the Website is unavailable at any time or for any period. Access to the Website may be suspended temporarily and without notice in a number of circumstances including but not limited to system failure, maintenance or repair or for reasons beyond the control of ICAEW.

4.2 We try to make the Website accurate, up-to-date and free from bugs, but we cannot promise that it will be. Furthermore, we cannot promise that the Website will be fit or suitable for any purpose. Any reliance that you may place on the information on the Website is at your own risk.

4.2 ICAEW may, additionally, alter the design, content, functionality and specifications of the Website at any time.
 

5.    INFORMATION

5.1 While we try to make sure the Website is secure, we do not actively monitor or check whether information supplied to us through the Website is confidential, commercial sensitive or valuable.

5.2 Other than any personal information which will be dealt with in accordance with our Privacy Policy, we do not guarantee that information supplied to us through the Website will be kept confidential and we may use it on an unrestricted and free-of-charge basis as we reasonably see fit.

5.3 Any Content is provided for your general information purposes only and to inform you about us and our products and services. Information contained on the Website or in listings or role descriptions and/or in any emails ICAEW may send out is to provide Candidates with career opportunities and information and for Recruiters to gain access to Candidates. This information does not constitute technical, financial or legal advice or any other type of advice and should not be relied upon for any purposes. You should always use your own independent judgment when using our Website and its Content and any emails you may receive from us.

5.4 The Website or emails may contain material submitted to the Website by third parties: each is responsible for ensuring that material submitted is lawful and its subsequent making available via the Website breaches no laws nor gives rise to any liability for ICAEW. ICAEW will not be responsible for any such material but reserves the right to alter or take down any such material.

5.5 Any arrangements, communications, contracts, representations, role offers or correspondence between you and any third party (such as a Candidate or Recruiter) are at your risk and you should take all reasonable steps to confirm the legitimacy and truthfulness of any information you obtain in this way.

5.6 CVs and vacancy advertisements contained on the Website, and the identity of companies and individuals introduced via the Website, are not reviewed or checked by ICAEW and it accepts no responsibility or liability for their content: Candidates and Recruiters should carry out their own verification as may be prudent.

5.7 Service and information provided on the site by the team at ICAEW and by third parties are intended to assist Candidates in the recruitment process. Neither ICAEW nor third parties can guarantee their suitability or prospects in any particular case. Candidates should obtain independent verification before relying on any information provided on the Website.

5.8 ICAEW accepts no responsibility for content or websites linked from the Website or in any email. The display of any hyperlink and reference to any third party advertising or website does not mean that we endorse that third party’s website, products or services. Your use of a third party site may be governed by the terms and conditions of that third-party site and is at your own risk, and no warranty, express or implied, is given by ICAEW for such content or websites.
 

6.    CANDIDATES : Additional terms

This section applies only to Candidates

6.1 The Website is directed at qualified accountants, prospective ACA students seeking training placements, accounting/finance professionals seeking new employment, volunteering roles, or contract opportunities and advice. The service for Candidates is free to use and, at no point, will ICAEW require a payment for such service from you; it will not seek any credit card, bank or other payment mechanism details from you. If you do receive any such demand, please report this request immediately on contactus@icaew.com.

6.2 Registration: Candidates may register for the website. By doing so, you further acknowledge these Terms and Conditions. You also agree that:

  • you are registering under your own name;
  • you only register once even if you have access to more than one email address;
  • you are registering for your own career or role-hunting purposes;
  • you are not seeking information for another commercial body, institute, employer or recruiter or for market research purposes;
  • all information you provide including any career history, personal details, and ACA and/or other professional and academic qualifications is fair and true (ICAEW will not check this even where it may have separate record-keeping of such information);
  • you do not mislead e.g. as to any required right to work in the UK or other impediments.

It is your responsibility to update any changes to that information.

6.3 Username and password: Registration is for a single individual user only and is via the ICAEW global single sign-on (SSO) that governs the use of ICAEW websites. 

6.3.1 On registering, Candidates provide their ICAEW member number if they have one (necessary for ICAEW Jobs only), other basic personal details, and create a password. Their member number or chosen username plus password become the Candidates’ login details needed to access their account on the Website. 

6.3.2 Candidates undertake not to disclose or make available such details to anyone else and remain responsible for any use consequent upon use of those login details. If the ICAEW member already uses any other ICAEW sites and has a login, there is no need to re-register, they can just login with their member number and password. 

6.4 Applying to a role advertisement: Candidates cannot apply for role adverts displayed on the ICAEW Jobs without having been submitted as a Member to ICAEW  as we offer as part of our guarantee to potential Recruiters, that all our applicants are ICAEW members who are ACA-qualified chartered accountants. Candidates can apply for roles on ICAEW Volunteers and ICAEW Training Vacancies without being an ICAEW Member. 

6.5 Unauthorised use of Login details: If you believe there has been any breach of security such as the disclosure, theft or unauthorised use of your Login details or identity, you must notify ICAEW immediately. If we reasonably believe that your details or registration are being used in any way which is not permitted by the Terms, we reserve the right to suspend access rights immediately and to block access until the issue has been resolved.

6.6 Uploading CVs: When applying for a role or when inviting searches from prospective Recruiters, Candidates enter certain compulsory details including a CV. Candidates are unable to apply for a role without first uploading their CV, but, once uploaded, Candidates can choose whether they want it to be searchable via potential Recruiters. This choice is made by ticking the relevant options during the application process. 

6.7 By uploading any documents to this site, you are providing your consent for this information to be processed by ICAEW for the purposes of administering the jobs board. This includes any special category data that may be contained in these documents

6.8 Use of Candidate details: By registering with and applying for any role on ICAEW Jobs, ICAEW Volunteers or ICAEW Training Vacancies, you also accept our Privacy Policy. You understand and agree that The Website may disclose to third parties certain information contained in your registration application as set out in the Privacy Policy (as updated from time to time),or as notified to the Candidate on registering. This information may include the Candidate’s contact details and their CV but with an option of disclosing just a name and email address.
 

7.    JOB ADVERTISING

7.1 It is the responsibility of the Recruiter to upload and manage their vacancy postings.

7.2 Services Provided: Candidates and Recruiters need to be aware that the Website operates as a platform to aid the job-seeking process only and does not manage the introduction or supply of Candidates to Recruiters or vice versa. The Website does not screen any applications or candidate CVs, nor scrutinise any Candidate or their identity or their suitability for any vacancy, nor the status and business of any Recruiter.
 

8.       GENERAL TERMS: Recruiters 

8.1 This section applies only to Recruiters (employers, organisations and recruitment agencies). 

8.2 In this section, the following definitions apply:

8.2.1 ‘Customer’ means any person, company, organisation or firm which purchases Services from ICAEW related to the Website;

8.2.2 ‘Order Form’ means an order for Services on ICAEW Jobs;

8.2.3 ‘Services’ means recruitment products, advertising or listings and other services made available through ICAEW Recruiter services, ICAEW Jobs, ICAEW Training Vacancies and ICAEW Volunteers;

8.3 The following definitions and terms apply to the process of advertising vacancies on ICAEW Jobs only - as the only site with paid-for products:

8.3.1 ‘Job Credit/s’ means the unit(s) of job postings that a Customer purchases; 

8.3.2 ‘Contract Month’ means a period of one calendar month commencing on the start date specified in the Order Form and ending the day before the same date in the next calendar month;

8.3.3 ‘Contract Term’ means the term specified on the Order Form for the provision of the Services;

8.3.4 Prices of advertising options are displayed on ICAEW Recruiter services. The prices are guaranteed for the period stated on the Order Form. Both the rate card and the price(s) paid are confidential and may not be disclosed to third parties by the Customer.

8.3.5 ICAEW Jobs adverts are purchased on a Job Credit basis. One Job Credit is for a job posting that can be displayed for 4 weeks. Each job posting has a unique identification (ID) number. The Customer can, utilising further job credits, choose to display a job advert for a longer duration. Information as to unused credits is displayed when uploading a job to the Website. Once a Customer has used up all their job credits, they will be unable to upload any further jobs and should contact the ICAEW Jobs team to purchase more job credits.

8.3.6 The Services are to be used within the set time period as specified on the Order Form and may not be carried over into any subsequent period without ICAEW Jobs team’s prior written consent. No refund will be issued for any Services or Job Credits that have been ordered and not used within the set time period as specified on the Order Form.

8.3.7    Payments: All prices exclude VAT. Single job postings and job packages on ICAEW Jobs must be paid for in advance through the purchase of credits or online by credit or debit card.

For all other advertisements and services, invoices are payable within 30 days from invoice date (Due Date). Depending on the size of a contract for Services, other than job postings, it may be possible, at ICAEW’s complete discretion, to pay for the Services on a monthly basis. If this is the case, any Order Form relating to Services for a ‘monthly contract’ will mean the calendar month commencing on the start date specified in the Order Form and ending the day before the same date in the next calendar month.

Any delay in payment beyond the Due Date entitles ICAEW to suspend job postings or any other Services provision. Interest is payable on late payments at a rate of 3% above the National Westminster Bank plc’s base rate from time to time.

8.3.8    Card Payments: Job Credits may be paid for with credit or debit card payments using Worldpay’s secure transaction environment, the Worldpay eCommerce Gateway. Only when payment has been received in cleared funds, will ICAEW Jobs grant access for Recruiters to post jobs on the Website.

8.3.9    Refunds relating to Card payments: The ICAEW Jobs payment system will only charge the credit or debit card when the job credits or the relevant service have been made available. If you have difficulties with the above system, please contact the ICAEW Jobs team.

8.3.10  Non  card payments: Commencement of Services will not begin until the completed Order Form has been returned to us in the form as required by ICAEW, signed by the Customer and then approved by ICAEW. Payment for these Services will be made in accordance with clause 8.3.7.


9. WEBSITE RULES: Recruiters 

9.1 The Website has the rules set out below regarding the content and format of role adverts posted on the Website (‘Rules’). These may change from time to time and you are advised to refer regularly to the Website to check current requirements. The purpose of the Rules is to ensure that users who search the site database bring up results which are presented as clearly and informatively as possible. By using the Website for available vacancies or Candidate recruitment, you agree that we may, at our discretion and without liability to you, remove from the Website any advertisement posted in breach of the Rules. The current rules are:

9.1.1 No posting of duplicate roles by directly copying other adverts of third parties or advertised by other agencies.

9.1.2 No advertising of any kind that refers to any franchise, pyramid scheme, multi-level marking (MLM) opportunity, "club membership", distributors or sales representative agency arrangements or other business opportunities.

9.1.3 No attempt to delete or change any material posted by any other person or entity.

9.1.4 All role adverts placed on the Website must be for genuine opportunities only and where (a) the advertiser has authority to promote such vacancy or opportunity and (b) the vacancy or opportunity is current.

9.1.5 On ICAEW Jobs all role adverts should be for qualified accountants only; no role advert should be for training vacancies, or junior/entry level candidates.

9.1.6 On ICAEW Training Vacancies all adverts should be for training training/placement roles and junior/entry level candidates.

9.1.7 On ICAEW Volunteers all adverts should be for voluntary (unremunerated) roles e.g. with NGOs / non-profit organisations.

9.1.8 No use of competitor names, firm or company names or third party trademarks in order to increase traffic or visibility unless licence has been given by the relevant rights owner.

9.1.9 No other gratuitous use of keywords or in any role description or role titles or their meta-data. Gratuitous means deliberately inserting words, or strings of words, or repeating role titles, with the intention of influencing position in the results listing, or increasing the number of page views.

9.1.10 No uploading of any content that is unlawful, harmful, threatening, abusive, harassing, libellous, or vulgar or materials which infringe or violate any third party’s copyright, trademark, trade secrets or other proprietary or property rights or that could constitute a criminal offence, or give rise to any civil liability either for ICAEW, a Candidate, or a Recruiter, or otherwise violate any applicable law.

9.1.11 No uploading of any content or role postings which utilise personal data where such uploading, or further dissemination through the Website, breaches any applicable data protection laws.

9.1.12 No hiding or disguising of your identity (or that of any prospective Recruiter save for purposes of client confidentiality), impersonation of any person or entity, including without limitation any ICAEW employee or agent or an authorised user of the Website, a Candidate, or a Recruiter, or otherwise misrepresenting your affiliation with ICAEW or any other person or entity. 

9.1.13 All advertisements to comply with the UK Code of Non-Broadcast Advertising and Direct & Promotional Marketing (CAP Code). 

9.1.14 No posting or uploading of opinions, notices or advertisements, commercial or otherwise for any products or services not being valid role postings permitted by the Terms and these Rules. 

9.1.14 No direct or indirect solicitation of business from other Recruiters.

9.1.15 No direct or indirect solicitation of business or promotion for any third party recruitment website or service

9.1.15 No promotion of other accountancy qualifications, courses of training for such qualifications or vacancies for candidates with such qualifications.


10. DATA PRIVACY: Recruiters 

10.1 For the purpose of this clause:

"Data Protection Legislation” means any Applicable Law relating to the processing, privacy, and use of Personal Data, as applicable to ICAEW, the Supplier and/or the Services, including:

(a) in the United Kingdom:

(i) the Data Protection Act 2018 and the Privacy and Electronic Communications (EC Directive) Regulations 2003, SI 2003/2426, and any laws or regulations implementing Directive 2002/58/EC (ePrivacy Directive); and/or

(ii) the General Data Protection Regulation (EU) 2016/679 (GDPR), and/or any corresponding or equivalent national laws or regulations implemented in the UK following the exit of the United Kingdom from the European Union (UK GDPR);

(b) in member states of the European Union: the GDPR and the ePrivacy Directive, and all relevant member state laws or regulations giving effect to or corresponding with any of them; and

any judicial or administrative interpretation of any of the above, any guidance, guidelines, codes of practice, approved codes of conduct or approved certification mechanisms issued by any relevant Regulator; and

10.1.2 “controller”, “data subject”, “personal data”, “processor”, “process” and “supervisory authority” shall have the meanings given to them in the Data Protection Legislation.

10.2 Use of Recruiter personal data: Personal data processed by ICAEW is in accordance with our Privacy Policy.

10.3 Access to and use of the Candidate database will be given after payment confirmation.

10.4 ICAEW and the Recruiter shall comply with all requirements and obligations applicable to them under the Data Protection Legislation.

10.5 ICAEW and the Recruiter shall each be considered as separate controllers in relation to the personal data contained on the Candidate database (“Candidate Personal Data”). You accordingly undertake to adhere to the terms of the Separate Controller Data Sharing Schedule.

10.6 Any breach of this clause 10 by ICAEW or a Recruiter will be a ‘material breach’ for the purpose of clause 12.1.1 (Termination).

10.7 It is the responsibility of the Recruiter to manage any permitted use of the Candidate database in compliance with the Data Protection Legislation and these Terms and to keep their login details confidential. ICAEW may deny access if it reasonably believes that the Candidate database is being used by an unauthorised person or that the user is in breach of these Terms or there is a risk as to breach of any applicable laws.

10.8 The Website only acts as a platform to display Candidate CVs where permission has been given. Recruiters need to be aware that ICAEW does not screen such CVs nor scrutinise or verify Candidates or their details. ICAEW is not responsible for determining a Candidate’s suitability for any role.

10.9 Searching or screening tools provided by the Website for use in your assessment of the suitability, or otherwise, of any particular candidate or advertised vacancy are to assist Recruiters in taking these steps, but are not intended as a substitute for independent checks and verifications once contact has been established between Candidate and Recruiter.

10.10 Use of the candidate database - CV search: Access to CV search (the candidate database) is given on a case by case basis. Contact us if you would like access. Candidates can choose not to be on the database. As with applications for a role, personal details contained within the Candidate information of those Candidates who have elected to be on CV search will be shared with those Recruiters that have been granted access. By using the Website’s Candidate database you agree to only use it, and to process the Candidate Personal Data thereon, to aid your search for suitable Candidates for valid role vacancies for which you have authority to represent and in accordance with these Terms. You agree to deal fairly, lawfully and professionally with all Candidates and not do anything which may bring the Website or ICAEW into disrepute or expose ICAEW to liability. You undertake to indemnify ICAEW from and against any claim brought by a Candidate or any third party against ICAEW arising from your breach of this obligation or any other of these Terms, the Separate Controller Data Sharing Schedule.

10.11 Without prejudice to the provisions of the Separate Controller Data Sharing Schedule, you may not:

10.11.1 Copy, share, make available or sell any material or data contained in the Candidate database to any other person (including another member of your group of companies) or otherwise extract from or commercialise any such material or data save as permitted by these Terms;

10.11.2 Download the database or copy any other content or listings on the Website through repeated access or any automated means (e.g. scraping);

10.11.3 Create, store or use any derivative database either of Candidates or their profiles or information disclosed in the CVs, even if anonymised; or

10.11.4 Use Candidate information, or the information gathered from the database, to contact Candidates for any purpose other than for fulfilling those vacancies posted by you on the Website


11. ONLINE ADVERTISING AND CAMPAIGNS: Recruiters

11.1 This section 11 applies to any advertising material or campaigns? accepted by ICAEW for display on any part of ICAEW Jobs ("Campaigns"). This may include display advertising, premium roles and targeted emails.

11.2 In order for any Campaign to go-live, the section below outlines the timescales we need to receive the relevant content so that the Campaign goes live on the specified date:

  • Medium rectangle ads – at least 4 working days prior to go-live date;
  • Premium job listing – at least 2 working days prior to go-live date;
  • Targeted email – at least 5 working days prior to go-live date.

11.3 If we do not receive the relevant content within these time scales ICAEW cannot guarantee that the Campaign will go live on the date scheduled, and it may be necessary to re-schedule depending on availability. If this is the case you must still pay the full amount set out in the Order Form irrespective of whether any delivery targets have been met.

11.4 If you wish to cancel or amend a booked Campaign or any part of it you must inform us via telephone or email at the number on the Order Form at least 2 working days before 9am on the go-live date. Campaigns cancelled earlier than such deadline will receive a refund of any fees paid for that particular element of the Campaign. Without such cancellation notice being given by such deadline(s), no refund will be given. 

11.5 Responsibility for the Campaign content and for ensuring that it complies with all relevant legislation and codes of practice lies solely with the Customer: ICAEW will not check or approve any such content. If ICAEW receives any complaints about the content or nature of any Campaign we may, at our discretion, remove the Campaign from the Website or otherwise cease the Campaign without reference or liability to you. You will indemnify ICAEW against any claim that the Campaign or its content infringes the intellectual property rights or other rights of others or is defamatory or otherwise offensive. It is your responsibility to ensure that the advertisements you place on ICAEW Jobs comply with the Conduct of Employment Agencies and Employment Businesses Regulations 2003 as amended or replaced from time to time.
 

12. TERMINATION: Recruiters 

12.1 The ICAEW Jobs Customer may terminate the provision of Services with no less than 30 days’ written notice to expire at the end of any Contract Month. Early termination by the Customer, before the end of the Contract Term, may result in loss of discounts and ICAEW may invoice a standard rate for this period. Either party may terminate provision of Services immediately by giving written notice to the other party, if that other party:

12.1.1 remains in breach of a material obligation for more than 14 days after the non-breaching party has given the party in breach a written notice specifying the breach and requiring its remedy; or

12.1.2 enters into liquidation or any composition with its creditors, or has a resolution passed to wind up (except for amalgamation or reconstruction) or has a receiver, administrator or administrative receiver appointed over all or any part of its assets; or ceases permanently to trade or threatens to do so.

12.2 Termination does not affect any accrued rights or obligations of either party.

12.3 ICAEW may immediately terminate its agreement with the Customer and/or delivery of any Services and/or the continuation of any job postings by giving the Customer written notice if the Customer does anything which in the reasonable opinion of ICAEW could damage the reputation of the Website, or otherwise bring ICAEW Jobs and/or ICAEW into disrepute.
 

13. LIMITATION OF LIABILITY

13.1 Whilst ICAEW shall use its reasonable endeavours to ensure that the information on the Website provided  by it, and in emails, is correct, it shall not be liable for (a) any content uploaded or made available by third parties such as Recruiters, or any user-generated content, or (b) any errors, omissions or inaccuracies or any loss or damages (including, without limitation, damages for loss of business, data, revenue, savings, loss of profits, loss of opportunity or career change or any special or consequential loss) arising in contract, tort or otherwise from the use of or inability to use the Website, or any information available on it including any text, guidance, news items, blog posts, listings, or role vacancy details, or from any action or decision taken as a result of using the Website or any such information to the maximum extent permitted by applicable law. In any event, you agree that ICAEW’s aggregate liability whether arising in contract, tort or otherwise, whether in respect of any of the Services or in connection with the Website or otherwise, save liability arising from personal injury or death caused by ICAEW’s negligence, shall be limited to £10,000.
 

14. EVENTS BEYOND OUR CONTROL

14.1 We are not liable to you if we fail to comply with these Terms because of circumstances beyond our reasonable control, (including but not limited to, strikes, lock-outs or other industrial disputes; breakdown of systems or network access; flood, fire, explosion or accident, or epidemics or pandemics).
 

15. RIGHTS OF THIRD PARTIES

15.1 No one other than a party to these Terms has any right to enforce any of these Terms.
 

16. ENTIRE AGREEMENT

16.1 These Terms constitute the entire agreement between you and ICAEW and supersede and extinguish all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to any access or use of the Website. 

16.2 You acknowledge that, in accessing or using the Website or in obtaining any Services, you do not rely on, and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms. You agree that you shall have no claim for innocent or negligent misrepresentation based on any statement unless included in these Terms.

16.3 Nothing in this clause shall limit or exclude any liability for fraud.
 

17. VARIATION

17.1 No changes to these Terms are valid or have any effect unless agreed by us in writing or made in accordance with this clause 17.

17.2 We reserve the right to vary these Terms from time to time. Our updated Terms will be displayed on the Website and by continuing to use and access the Website and/or any of its Services following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these Terms from time to time to verify such variations.
 

18. APPLICABLE LAW

18.1 These Terms, and any agreement with ICAEW relating to the Website, shall be governed by and construed in accordance with English Law and the courts of England shall have exclusive jurisdiction.
